By accessing and using Cognify Works E-Sign ("the Service"), you accept and agree to be bound by these terms. If you do not agree, please do not use the Service.
2. Description of Service
Cognify Works E-Sign is an electronic signature platform that allows users to create, send, and manage documents for electronic signing. The Service provides tools for document preparation, signature collection, and document management.
3. User Accounts
3.1 Account Creation: You must provide accurate, current, and complete information during registration and maintain the security of your account credentials.
3.2 Account Responsibility: You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Upload or transmit any malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to send spam or unsolicited communications
- Impersonate any person or entity or falsely state your affiliation with any person or entity
- Violate any intellectual property rights of others
5. Electronic Signatures
5.1 Electronic-signature tooling: The Service provides tools to collect electronic signatures and related records. Whether a signature is legally valid or enforceable depends on the jurisdiction, document type, parties, and signing process.
5.2 Your Responsibility: You are responsible for ensuring that electronic signatures are appropriate and legally valid for your specific use case. We recommend consulting with legal counsel for important documents.
5.3 Compliance: You are responsible for determining and meeting all laws and regulatory requirements that apply to your documents and workflows, including any requirements under the U.S. ESIGN Act, UETA, eIDAS, or local equivalents. The Service does not guarantee that a particular workflow satisfies those requirements.
6. Subscription Plans and Billing
6.1 Plans: We offer various subscription plans (FREE, PRO, ENTERPRISE) with different features and limits. Plan details are available on our website.
6.2 Billing: Paid plans are billed monthly or annually as selected. All fees are non-refundable except as required by law.
6.3 Auto-renewal: Subscriptions automatically renew unless cancelled. You may cancel your subscription at any time through your account settings.
6.4 Price Changes: We reserve the right to modify subscription prices with 30 days' notice to existing subscribers.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
7.1 Data Storage: We store your documents and data securely. You retain ownership of all documents and data you upload.
7.2 Data Deletion: You may request deletion of your data at any time. We will delete your data in accordance with our Privacy Policy and applicable law.
8. Intellectual Property
8.1 Service IP: The Service, including its original content, features, and functionality, is owned by Cognify Works and is protected by applicable intellectual property laws.
8.2 Your Content: You retain all rights to documents and content you upload. By using the Service, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNIFY WORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Indemnification
You agree to indemnify and hold harmless Cognify Works, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cognify Works operates, without regard to its conflict of law provisions.
